1. Agreement to Terms

By accessing or using the GSD LLC ("GSD," "we," "us," or "our") website at gogsd.co or engaging our services, you agree to be bound by these Terms of Service ("Terms"). GSD LLC is a subsidiary of KMM Holdings LLC. If you do not agree, do not use our website or services.

2. Services Description

GSD provides done-for-you business services including but not limited to:

  • Content and marketing materials
  • Documents and reports
  • Operations and process documentation
  • Sales and growth materials
  • Strategy and research
  • AI-powered business analysis tools

Specific deliverables, timelines, and pricing are defined in individual project agreements (Statements of Work). Our website also provides AI-powered analysis tools that use artificial intelligence models provided by third-party providers, including Anthropic. AI-generated analysis and recommendations may contain errors or inaccuracies and should be independently verified.

3. AI-Powered Tools Disclosure

Certain features of our website, including the business analyzer, use artificial intelligence to generate analysis and recommendations. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or incomplete information
  • AI analysis is provided for informational purposes only and does not constitute professional business, legal, financial, or tax advice
  • You are solely responsible for any decisions made based on AI-generated analysis
  • The AI models and providers used may change without notice
  • Your inputs to AI-powered tools are processed by third-party AI providers to generate results

4. Engagement Process

4.1 Project Work

  • All projects require a signed Statement of Work (SOW)
  • Payment terms are specified in each SOW
  • Standard: 50% upfront, 50% on delivery
  • Work begins upon receipt of initial payment

4.2 Retainer Agreements

  • Monthly retainers are billed in advance
  • Unused hours do not roll over
  • Either party may cancel with 30 days written notice

5. Payment Terms

5.1 Fees

  • Project fees are fixed as quoted
  • Retainer fees are monthly recurring
  • Rush fees (50% premium) apply for expedited turnaround
  • Additional revisions beyond included rounds: $75/hour

5.2 Payment Methods

We accept credit cards, ACH, and wire transfer via Stripe. Invoices are due upon receipt unless otherwise specified. Late payments accrue interest at 1.5% per month. You are responsible for all applicable taxes.

5.3 Refunds

  • Deposits are non-refundable once work begins
  • Partial refunds may be issued for incomplete work at our discretion
  • No refunds for completed deliverables

6. Revisions and Changes

6.1 Included Revisions

  • Each deliverable includes 2 rounds of revisions
  • Revision requests must be submitted within 7 days of delivery
  • Revisions must be within original project scope

6.2 Scope Changes

Changes to project scope require a new SOW or SOW amendment. Scope changes are quoted as additional work. We are not obligated to accept scope changes.

7. Client Responsibilities

You agree to:

  • Provide accurate and complete information
  • Respond to requests within 2 business days
  • Provide necessary access, materials, and approvals
  • Review deliverables promptly
  • Pay invoices on time

Delays caused by late client responses may extend project timelines.

8. Acceptable Use

When using our website, customer portal, or AI-powered tools, you agree NOT to:

  • Provide false or misleading information
  • Attempt to reverse-engineer, scrape, or exploit our AI systems or tools
  • Use automated means to access our website or tools without permission
  • Circumvent usage limits, security measures, or access controls
  • Use our tools to generate content that is illegal, harmful, or violates third-party rights
  • Resell, sublicense, or redistribute analysis or outputs from our AI tools
  • Interfere with or disrupt the integrity or performance of our website or services

9. Intellectual Property

9.1 Client Materials

You retain ownership of materials you provide to us. You grant us a non-exclusive license to use these materials solely to perform services.

9.2 Deliverables

Upon full payment, you own all rights to custom deliverables created for you. We retain rights to general methodologies, templates, frameworks, and know-how developed independently or through the course of providing services. We may use anonymized examples of our work in portfolios (unless you opt out in writing).

9.3 Third-Party Materials

Some deliverables may include licensed stock images, fonts, or other third-party materials. You are responsible for maintaining required licenses for ongoing use.

9.4 AI-Generated Content

Analysis and recommendations generated by our AI tools are provided for your use but are not guaranteed to be original, accurate, or free from intellectual property claims. You are responsible for verifying AI-generated outputs before relying on them.

10. Confidentiality

We will treat your business information as confidential, not disclose it to third parties without consent, and use it only to perform services. Client information submitted to AI-powered tools may be processed by third-party AI providers (such as Anthropic) solely for the purpose of generating analysis. We do not use your information to train AI models.

Confidentiality does not apply to information that is publicly available, was known to us before disclosure, is independently developed, or is required to be disclosed by law.

11. Warranties and Disclaimers

We warrant that services will be performed professionally and competently, deliverables will substantially conform to agreed specifications, and we have the right to provide the services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS. WE ARE NOT RESPONSIBLE FOR HOW YOU USE DELIVERABLES. AI-GENERATED ANALYSIS AND RECOMMENDATIONS ARE PROVIDED WITHOUT WARRANTY OF ACCURACY, COMPLETENESS, OR SUITABILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE AT ISSUE. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

THESE LIMITATIONS APPLY REGARDLESS OF WHETHER GSD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

13. Indemnification

You agree to indemnify, defend, and hold harmless GSD LLC, KMM Holdings LLC, and their members, officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our services or website; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content or materials you provide to us; (e) your use of AI-generated analysis or recommendations; or (f) your violation of any applicable law or regulation.

14. Termination

You may terminate at any time with written notice. No refund for work already completed. We may terminate if you breach these Terms (with 15 days written notice and opportunity to cure, except for material breaches), or with 30 days notice for any reason. Upon termination, you must pay for all services rendered. Sections 9, 10, 11, 12, 13, and 16 survive termination.

15. Dispute Resolution

Informal Resolution

Before filing any formal legal proceeding, you agree to contact us at hello@gogsd.co and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration

If we cannot resolve the dispute informally, you and GSD agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our services through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in South Carolina.

Class Action Waiver

YOU AND GSD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Small Claims Exception

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles. Any legal action not subject to arbitration must be filed in the state or federal courts located in South Carolina.

16. General Provisions

Entire Agreement

These Terms, together with any SOW and our Privacy Policy, constitute the entire agreement between us.

Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it later.

Force Majeure

GSD shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, internet or infrastructure outages, third-party service provider disruptions (including AI provider outages), government actions, labor disputes, or pandemic.

Notices

We may provide notices via email to your registered address. Notices to us must be sent to hello@gogsd.co.

We may update these Terms at any time. We will provide notice of material changes at least 15 days before they take effect. Continued use of our website or services constitutes acceptance.
